10. LIMITATION OF LIABILITY:

Newson Gale does not exclude or limit any liability under these Terms where it is unlawful to exclude or limit liability.

Different limitations and exclusions apply arising as a result of the supply of any products or services, which are set out in Newson Gale’s Sales T&Cs.

  • If you are a business user:

    • Newson Gale will not be liable for any loss or damage, whether in contract, tort (including negligence), breach or statutory duty or otherwise, even if foreseeable, arising under or in connection with (i) use of, or inability to use, the website or (ii) use of or reliance of any content displayed on the website. In particular, Newson Gale will not be liable for loss of profits, sales, business or revenue, business interruption, loss of anticipated savings, loss of business opportunity, goodwill or reputation, or any indirect or consequential loss or damage.

If you are a business user, these Terms, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. You and Newson Gale both agree to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer user, these Terms, their subject matter and their formation, are governed by English law. You and Newson Gale agree that the courts of England and Wales have exclusive jurisdiction, except that if you are a resident of Northern Ireland, you may also bring proceedings in Northern Ireland, and if you are a resident of Scotland, you may also bring proceedings in Scotland.

  1. APPLICABLE LAWS-ARBITRATION-JURISDICTION-VENUE:

The laws of the State of New Jersey, without regard to conflict of law provisions, govern this Agreement, including any interpretations of the Agreement. The failure to bring a claim or cause of action arising out of or related to the use of Newson Gale’s website or the Agreement within one (1) year after the claim or cause of action arose, forever bars the claim or cause of action.

  1. ENTIRE AGREEMENT:

The Agreement constitutes the entire agreement between you and Newson Gale and governs your use of its website, superseding any prior agreements between you and Newson Gale.
